EXPLANATORY NOTE
Pacira BioSciences, Inc. previously filed Registration Statements on Form S-8 with the United States Securities and Exchange Commission (the “SEC”) on June 5, 2014 (File No. 333-196542) and August 4, 2022 (File No. 333-266532) (collectively, the “Prior Registration Statements”), pertaining to, among other things, the registration of an aggregate of 1,000,000 shares of common stock, par value $0.001 per share (the “Common Stock”), authorized to be issued pursuant to the Pacira BioSciences, Inc. Amended and Restated 2014 Employee Stock Purchase Plan (as amended and restated to date, the “Plan”). The registrant hereby incorporates by reference the contents of the Prior Registration Statements to the extent not otherwise amended or superseded by the contents of this Registration Statement.

This Registration Statement is being filed pursuant to General Instruction E of Form S-8 to register under the Securities Act of 1933, as amended, the offer and sale of an additional 800,000 shares of Common Stock pursuant to the Plan. Pursuant to General Instruction E of Form S-8, the contents of the Prior Registration Statements, to the extent relating to the registration of Common Stock issuable under the Plan, are incorporated herein by reference and made part of this Registration Statement, except as amended, supplemented, or superseded hereby.
